Nestlé USA, Inc. Selling North American Buitoni Business

Brynwood Partners VIII L.P.’s newly formed portfolio company, Buitoni Food Company, has entered into a definitive agreement to purchase NestléUSA, Inc.’s North American Buitoni business. Expected to close within the next 30 days, subject to customary U.S. regulatory review, the transaction includes the rights to the Buitoni brand in the U.S.,Canada,and theCaribbeanterritories, as well as a 240,000-sq-ft manufacturing facility inDanville, Virginia. Buitoni Food Company will continue to manufacture Nestlé Toll House cookie dough products at theDanvillefacility under a long-term supply agreement.
